Terms of Service

These Terms of Service ("Terms") are an agreement between you and Perseverance Factor, an S corporation operating as Gilad Enterprises ("we," "us," "our"), covering your use of our mobile applications — including SplitSnap, SpeedSense, AskConvert, and other apps we publish under the AI Utilities name (the "Apps") — and the website aiutilities.app (together, the "Services"). By downloading, installing, or using the Services, you agree to these Terms. If you don't agree, please don't use the Services.

1. Using the Apps

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Apps on devices you own or control, for your own personal, non-commercial use, subject to these Terms and the rules of the app store you downloaded them from (Apple's App Store or Google Play).

You agree not to:

• copy, modify, distribute, sell, or lease any part of the Services;
• reverse engineer or attempt to extract the source code of the Apps, except where the law permits it;
• use the Services to violate any law or the rights of others;
• interfere with or disrupt the Services — including circumventing rate limits, automating requests to our servers, or abusing the AI features or rewarded-ad system.

2. AI features and accuracy

Each App includes features powered by artificial intelligence. AI-generated responses are produced automatically and can be wrong, incomplete, or misleading. They are provided for convenience and general information only, and they are not professional, financial, legal, medical, or technical advice.

• Verify any result that matters — bill amounts, payments, measurements used in cooking or construction, or decisions about services you pay for.
• AI features require an internet connection and depend on third-party providers; they may be rate-limited, degraded, or unavailable at any time.
• You are responsible for what you submit to AI features. Don't submit content that is unlawful or that you don't have the right to share.

3. Ads and rewarded features

The Services are free and supported by advertising served through Google AdMob and its partners. Some features let you voluntarily watch a rewarded ad in exchange for additional AI actions. Ad availability isn't guaranteed, and rewarded benefits are promotional, hold no cash value, may reset between sessions, and can be changed or discontinued at any time.

4. Intellectual property

The Services — including app names, logos, designs, code, and content we created — belong to Perseverance Factor or our licensors and are protected by intellectual-property laws. These Terms don't give you any right to use our names, logos, or branding. You keep all rights to the content you submit (like receipt photos or questions); you give us permission to process that content solely to operate the Services, as described in our Privacy Policy.

5. Third-party services

The Services rely on third parties — including Google AdMob (advertising), Groq, Inc. (AI processing), and our hosting providers. Their services are governed by their own terms and privacy policies, and we aren't responsible for them. App store purchases and downloads are governed by the applicable app store's terms.

6. Disclaimer of warranties

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Services will be uninterrupted, error-free, or that results (including speed-test measurements, split calculations, conversions, or AI responses) will be accurate or reliable.

7. Limitation of liability

To the maximum extent permitted by law, Perseverance Factor and its shareholders, directors, officers, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or costs of substitute services — arising out of or related to your use of the Services. To the maximum extent permitted by law, our total liability for all claims relating to the Services will not exceed fifty U.S. dollars (US $50). Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

8. Indemnity

You agree to indemnify and hold harmless Perseverance Factor from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services or violation of these Terms.

9. Changes and termination

We may update, change, or discontinue the Services (or any feature) at any time. We may update these Terms by posting a revised version here with a new effective date; continued use after changes means you accept them. We may suspend or terminate your access if you violate these Terms. You can stop using the Services at any time by deleting the Apps.

10. Governing law

These Terms are governed by the laws of the United States and of the state in which Perseverance Factor is incorporated, without regard to conflict-of-law rules. Disputes will be resolved in the courts located in that state, and you consent to their jurisdiction, except where the law of your country of residence grants you mandatory protections or venue.
